These Terms of Use ("Terms") govern your use of Notework and related services provided by Beta Acid, Inc. ("Beta Acid," "we," "us," or "our"). By using the Services, you agree to these Terms.

1. Services

Notework is a workspace platform for pages, projects, collections, comments, search, sharing, and import or export workflows. Features may evolve over time, and some functionality depends on plan level, usage limits, and product availability.

2. Accounts and Eligibility

• You must provide accurate account information and keep it up to date.
• You are responsible for safeguarding your login credentials.
• You are responsible for activity under your account, including activity by users invited to your workspace.
• You must be legally able to enter into these Terms.

3. Workspace Administration and Permissions

Workspace owners and administrators control membership, permissions, billing decisions, and certain data actions for their workspace. If you are invited to a workspace, your access and rights may be managed by that workspace's administrators.

4. Acceptable Use

You agree not to:

• Use the Services in violation of law or third-party rights.
• Upload malicious code, attempt unauthorized access, or disrupt service operations.
• Bypass technical restrictions, rate limits, or access controls.
• Use the Services to distribute spam, malware, or fraudulent content.
• Reverse engineer, copy, or misuse the Services except as permitted by law.

5. Customer Content

You retain ownership of content you submit to Notework ("Customer Content"). You grant Beta Acid a limited license to host, process, store, transmit, index, and display Customer Content solely to provide, secure, and improve the Services, and as otherwise required by law.

You are responsible for ensuring you have rights to content you upload, import, share, or publish through Notework, including publicly shared pages.

6. Imports, Exports, and Portability

Notework supports imports, including Notion and CSV, and exports, including Markdown, CSV, and ZIP. Import fidelity can vary depending on source data quality and format. You are responsible for reviewing imported data and validating exported outputs for your use case.

7. Billing, Trials, and Subscriptions

• Paid features may require a subscription.
• Billing is processed by third-party payment processors such as Stripe.
• Subscriptions renew automatically until canceled unless stated otherwise.
• Plan limits may apply, including seats, storage, and file size limits.
• Trial eligibility, length, and availability may change.

8. Suspension and Termination

We may suspend or terminate access to all or part of the Services if we reasonably believe you violated these Terms, created security risk, failed to pay applicable fees, or if suspension is necessary for legal or operational reasons.

You may stop using the Services at any time. Certain provisions survive termination, including ownership, disclaimers, limitations of liability, and dispute terms.

9. Intellectual Property

The Services, including software, design, branding, and related materials, are owned by Beta Acid or its licensors and protected by intellectual property laws. Except for limited rights expressly granted in these Terms, no rights are transferred to you.

10. Third-Party Services

Notework relies on third-party services, for example authentication, storage, infrastructure, and payment providers. Your use of those services may also be subject to third-party terms and policies.

11. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. Beta Acid disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law, Beta Acid and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill.

To the maximum extent permitted by law, Beta Acid's aggregate liability arising out of or related to the Services will not exceed amounts paid by you to Beta Acid for the Services during the twelve (12) months preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify and hold harmless Beta Acid, its affiliates, and personnel from claims, damages, losses, liabilities, and expenses arising from your use of the Services, your content, or your violation of these Terms or applicable law.

14. Changes to the Services or Terms

We may modify the Services or these Terms from time to time. Updated Terms will be posted on this page with a revised "Last updated" date. Continuing to use the Services after changes become effective means you accept the updated Terms.

15. Governing Law

These Terms are governed by applicable laws of the jurisdiction where Beta Acid, Inc. is organized, unless otherwise required by applicable law.
